Acceptance of Terms

These Terms of Service ("Terms") govern your use of the metronexis fitness analytics platform and related services provided by metronexis S.A., a company registered in Portugal with registration number 741258963 and registered office at Avenida da República 228, 1030-682 Lisbon, Portugal ("metronexis", "we", "us", or "our").

By accessing or using our website, platform, or services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and metronexis.

Description of Services

metronexis provides fitness client retention analytics platforms and related services designed to help fitness centres, gyms, and wellness facilities analyse member behaviour, predict churn, and implement data-driven retention strategies. Our services include but are not limited to:

  • Predictive analytics and machine learning algorithms for member retention
  • Behavioural analysis and member segmentation tools
  • Performance dashboards and reporting capabilities
  • Integration services with existing fitness management systems
  • Consulting and strategic guidance for retention improvement

User Obligations

When using our services, you agree to:

  • Provide accurate, complete, and up-to-date information when creating accounts or using our services
  • Maintain the security and confidentiality of your account credentials
  • Use our services only for lawful purposes and in accordance with these Terms
  • Comply with all applicable laws and regulations, including data protection and privacy laws
  • Respect the intellectual property rights of metronexis and third parties
  • Not attempt to reverse engineer, decompile, or otherwise derive the source code of our platform
  • Not use our services to transmit harmful, offensive, or illegal content
  • Notify us immediately of any unauthorised use of your account or security breaches

Intellectual Property

The metronexis platform, including all software, algorithms, designs, text, graphics, logos, and other content, is the exclusive property of metronexis and is protected by copyright, trademark, and other intellectual property laws. All rights, title, and interest in and to the platform and related materials remain with metronexis.

You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms. This licence does not grant you any ownership rights in our intellectual property. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

Any feedback, suggestions, or improvements you provide regarding our services may be used by metronexis without any obligation to compensate you or obtain your further consent.

Data and Privacy

Your use of our services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

You retain ownership of any data you provide to metronexis through our platform. You grant metronexis a licence to use, process, and analyse such data solely for the purpose of providing our services to you. We will handle your data in accordance with applicable data protection laws and our Privacy Policy.

Payment Terms

If you subscribe to paid services, you agree to pay all applicable fees as described in your service agreement or as displayed on our platform. Fees are non-refundable unless otherwise specified in writing. We reserve the right to modify our pricing at any time, with reasonable notice to existing subscribers.

Late payments may result in suspension or termination of services. You are responsible for all taxes, duties, and other charges related to your use of our services.

Limitation of Liability

To the maximum extent permitted by applicable law, metronexis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of our services, regardless of the theory of liability.

Our total liability to you for all claims arising out of or relating to these Terms or your use of our services shall not exceed the amount you paid to metronexis in the twelve months preceding the claim.

We provide our services "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.

Termination

Either party may terminate these Terms at any time with reasonable notice. metronexis reserves the right to terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms or engage in conduct that we determine is harmful to our business, other users, or third parties.

Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, and governing law clauses.

You may terminate your account at any time by contacting us at legal@metronexis.pro. Upon termination by you, we will cease providing services and may delete your data in accordance with our data retention policies.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using our services and may terminate your account in accordance with the termination provisions above.

Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
